Terms of Service

These terms govern your installation and use of Digital Downloads – GrabFlow ("GrabFlow"), the Shopify app that delivers digital files to your customers automatically after checkout. Please read them before you install the app.

It must be reviewed and approved by a qualified lawyer in the relevant jurisdiction, and every bracketed placeholder must be filled in, before it is published or linked from a Shopify App Store listing.

1. Acceptance of these terms

These Terms of Service (the "Terms") form a binding agreement between [Legal entity name], operating as GrabFlow ("GrabFlow", "we", "us", "our"), and the business that installs or uses the app ("you", "your", "the merchant").

By installing GrabFlow on your Shopify store, by clicking to accept, or by using the app in any way, you agree to these Terms. If you do not agree to them, do not install the app, and uninstall it if it is already installed.

If you are accepting these Terms on behalf of a company or other legal entity, you confirm that you have authority to bind that entity, and "you" means that entity.

These Terms apply in addition to — and not instead of — your agreements with Shopify. Your Shopify account, your storefront and your billing relationship with Shopify are governed by Shopify's own terms, which we do not control. Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

2. What GrabFlow does

GrabFlow is a Shopify app that delivers digital files to your customers after they pay. In plain terms:

GrabFlow is an independent application. It is not built, endorsed or operated by Shopify, and it does not replace your own obligations to your customers.

To use GrabFlow you must:

4. Your account and your responsibilities

GrabFlow does not issue separate passwords. You sign in through your Shopify admin, and anyone with sufficient access to your Shopify admin can use the app on your behalf. You are responsible for controlling who has that access, and you are responsible for everything done in the app through your store.

5. Acceptable use

5.1 You must own or be licensed to distribute every file you upload

This is the most important rule in these Terms.

By uploading a file to GrabFlow, you represent and warrant that you own it, or that you hold a licence that expressly permits you to sell, distribute and deliver copies of it to your customers, and that delivering it through GrabFlow does not infringe anyone else's rights.

Do not upload someone else's work — ebooks, music, video, software, fonts, templates, presets, design assets, stock photography, course material, printables or anything else — unless you can point to the right or licence that lets you resell or redistribute it. Buying a copy of a work, or downloading it from the internet, does not give you the right to sell it. Neither does crediting the author, altering it slightly, or bundling it with your own work. If you are not certain you have the rights, do not upload it.

5.2 Prohibited content and conduct

You must not use GrabFlow to upload, store, deliver, link to or otherwise distribute:

5.3 We do not pre-screen your files

We do not review, open, index or monitor the files you upload, and we have no practical way to know what a file contains. Responsibility for your content is yours. That said, we may investigate and may remove or disable access to any file, and may suspend or terminate an account, where we receive a credible report or otherwise reasonably believe these Terms have been broken or that the law requires it.

5.4 Copyright and other rights complaints

If you believe material being distributed through GrabFlow infringes your rights, email support@grabflow.app with: identification of the work, the store or download link concerned, your contact details, and a statement that you believe in good faith that the use is not authorised. We will investigate, and we may remove the material and suspend the merchant. We terminate repeat infringers.

5.5 What happens if you break these rules

We may remove or disable the material, suspend or terminate your access immediately and without refund, notify Shopify, and — where the law requires or permits it — report the matter to law enforcement or to the affected rights holder.

6. Storage limits

Every plan includes a storage allowance, measured as the total size of the files you have stored with GrabFlow at any one time. All plans include unlimited products, unlimited orders and unlimited download bandwidth.

There are no overage fees. We never bill you for exceeding your allowance. Instead:

Any additional technical limits — for example a maximum size for an individual file — are shown in the app. We may adjust them where necessary to keep the service running reliably for everyone, and will give notice in the app of any change that materially affects you.

7. Fees, plans, trials and billing

Prices are in US dollars and are exclusive of any taxes, which Shopify may add to your invoice where required.

7.2 Free trial

Paid plans include a 14-day free trial. If you do not cancel, downgrade or uninstall before the trial ends, the plan continues and the recurring charge begins. The trial is offered once per store.

7.3 How billing works

All billing runs through Shopify's billing system. You approve the recurring charge inside your Shopify admin, Shopify collects it, and it appears on your regular Shopify invoice alongside your other Shopify charges. There is no separate checkout, no separate invoice from us, and GrabFlow never sees, receives or stores your card or bank details. Questions about how a charge is collected, prorated or presented are ultimately governed by Shopify's billing rules.

Paid plans renew monthly until cancelled. If you upgrade or downgrade, the change takes effect through Shopify's billing system and any proration is handled by Shopify according to its rules.

7.4 Refunds

Except where refunds are required by law, fees already charged are non-refundable, including for partial months and for periods in which you did not use the app. If you believe you have been charged in error, contact support@grabflow.app and we will look into it and work with you through Shopify's billing tools.

7.5 Price changes

We may change our prices or the contents of a plan. We will give at least 30 days' notice by email to your store contact address or in the app, and a change will never apply to a billing period you have already paid for. If you do not accept a new price, uninstall the app before it takes effect. We may also change or discontinue the Free plan on the same notice.

8. Cancelling, and what happens to your data afterwards

8.1 How to cancel

You can cancel at any time by uninstalling GrabFlow from your Shopify admin. There is nothing else to do — uninstalling ends the recurring charge through Shopify. Unless the law requires otherwise, you are not refunded for the remainder of a billing period already paid.

Once the app is uninstalled we stop receiving your orders, so new purchases will not be delivered. Do not rely on GrabFlow continuing to serve existing download links after uninstall.

8.2 Your data is permanently deleted 48 hours after uninstall

Read this before you uninstall. Shopify sends us a shop/redact request 48 hours after you uninstall the app. When we receive it, we permanently delete all of your shop's data — including every file you uploaded, along with digital order records, product attachments, email logs, shop settings and sessions.

This deletion is irreversible. There is no archive, no grace period beyond those 48 hours, and nothing for us to restore afterwards. If you reinstall later, you start from an empty account and must upload and configure everything again.

Keep your own copies of every file you upload to GrabFlow. GrabFlow is a delivery tool, not storage of record, and we are not responsible for content you no longer hold elsewhere.

Personal data belonging to your customers is handled as described in our Privacy Policy, including Shopify's customers/data_request and customers/redact requests.

9. Intellectual property

9.1 Your content stays yours

You keep all ownership of and rights in the files you upload, your product information and your branding. Nothing in these Terms transfers any of it to us.

You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit and display that content solely so that we can operate the app and deliver your files to your customers as you have configured. That licence exists only for as long as we hold the content, and ends when you delete it or when your shop's data is deleted after uninstall. We do not sell your content, use it for advertising, or use it to train machine learning models.

9.2 Our software stays ours

GrabFlow — including the app, the website, the source code, the interface and design, the documentation, and the GrabFlow name and logo — is owned by [Legal entity name] and protected by intellectual property law.

While these Terms are in force and your account is in good standing, we grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to use the app for your own store's business. You may not copy, modify, create derivative works from, reverse engineer, resell, sublicense or white-label it, except where applicable law expressly permits it despite this restriction.

9.3 Feedback

If you send us suggestions or feature ideas, we may use them freely and without obligation or compensation, and you gain no rights in anything we build as a result.

9.4 Third-party names

"Shopify" is a trademark of Shopify Inc. GrabFlow is an independent application and is not endorsed by or affiliated with Shopify Inc.

10. Service availability

GrabFlow is provided on an "as available" basis. We work to keep it running reliably, but we do not offer an uptime guarantee, a service level agreement or service credits.

The service may be unavailable or degraded because of maintenance, upgrades, or events outside our control — including problems with Shopify, with our infrastructure providers (Cloudflare R2, Resend, and Amazon Web Services / Lightsail), with networks or DNS, or because of attacks, outages or other force majeure events.

Email delivery in particular depends on third parties and on the recipient's mail provider. We cannot guarantee that any individual delivery email arrives, arrives promptly, or is not filtered as spam.

We may add, change or remove features. If we discontinue functionality you materially depend on, or the service as a whole, we will give reasonable advance notice where practicable — normally at least 30 days — so that you can retrieve your files and make other arrangements.

11. Suspension and termination

We may suspend or terminate your access to GrabFlow, in whole or in part, immediately and without notice if:

Where it is practicable and does not increase the risk of harm, we will tell you first and give you a chance to put things right. We may also stop offering the app altogether on reasonable notice.

You may terminate at any time by uninstalling the app.

When these Terms end, your licence to use the app ends, access stops, and your data is deleted as described in section 8. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnity and governing law — continue to apply. No refund is due where we terminate for breach.

12. Disclaimer of warranties

To the maximum extent permitted by law, GrabFlow is provided "as is" and "as available", and we disclaim all warranties, whether express, implied or statutory — including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from a course of dealing or trade usage.

In particular, we do not warrant that:

No advice or information you get from us, in any form, creates a warranty not stated here. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you; nothing here limits rights that cannot lawfully be limited.

13. Limitation of liability

To the maximum extent permitted by law:

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, such as liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.

You agree that these limits are a reasonable allocation of risk between us, and that our pricing reflects them.

14. Indemnity

You will defend, indemnify and hold harmless GrabFlow and [Legal entity name], and its owners, employees and contractors, against any third-party claim, demand, proceeding, loss, liability, damage, fine or reasonable legal cost arising out of or relating to:

We will notify you promptly of any such claim, let you control the defence (we may participate with our own counsel at our own cost), and cooperate reasonably. You may not settle a claim in a way that admits fault on our behalf or imposes any obligation on us without our prior written consent.

15. Changes to these terms

We may update these Terms — for example when the app changes, when we add or replace an infrastructure provider, or when the law requires it.

For material changes, we will give at least 30 days' notice by email to your store's contact address or by notice in the app before they take effect. Minor changes, such as corrections and clarifications, take effect when posted. The "Last updated" date at the top always reflects the current version, and earlier versions are available on request.

If you continue to use GrabFlow after a change takes effect, you accept the updated Terms. If you do not accept them, uninstall the app before that date.

16. Governing law and disputes

These Terms, and any dispute arising out of or relating to them or to GrabFlow, are governed by the laws of [Governing law jurisdiction], without regard to its conflict-of-law rules. The courts of [Governing law jurisdiction] have exclusive jurisdiction, and both parties submit to them. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before starting formal proceedings, please contact us at support@grabflow.app and give us 30 days to try to resolve the matter informally. Most problems are faster to fix that way.
